Terms of Service

1. Acceptance of Terms

By creating an account, checking the acceptance box at signup, or otherwise accessing or using the Retinaut platform, you ("User" or "Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Retinaut LLC, a Connecticut limited liability company ("Retinaut," "we," "our," or "us").

2. Services Provided

Retinaut provides the following services under your selected subscription plan:

  • Automated WCAG 2.1 accessibility scanning of your website(s)
  • Violation identification, categorization, and severity scoring
  • Platform-specific remediation guidance and fix instructions
  • Access to Ret, Retinaut's AI compliance advisor
  • Rescanning and verification of remediated violations
  • Ongoing monitoring and compliance score tracking
  • Monthly compliance reports (Growth and Agency plans)

Premium Manual Audit services, where separately engaged, additionally include keyboard and screen reader testing, VPAT documentation, and a personal consultation with Retinaut's founder.

3. Subscription Plans and Fees

By subscribing, you agree to pay the monthly fee for your selected plan:

  • Starter: $49/month — 1 website
  • Growth: $99/month — up to 3 websites
  • Agency: $199/month — up to 10 websites
  • Premium Manual Audit: $1,200–$2,000 per engagement (quoted separately)

Fees are billed monthly in advance. You may cancel at any time with no penalty. No refunds are issued for partial months. Retinaut reserves the right to update pricing with 30 days' written notice.

4. Your Responsibilities

By using the Service, you agree to:

  • Provide accurate website URL(s) for scanning
  • Implement remediation guidance in good faith
  • Not misrepresent violation status (e.g., marking items Completed without performing fixes)
  • Maintain your account credentials securely and not share access
  • Notify Retinaut of significant website changes that may affect scan results
  • Use the Service only for websites you own or have authorization to scan

5. Scan Scope and Fair Use

Scans are limited to the URLs and page depth specified during setup. You are responsible for submitting specific URLs or a reasonable page scope for scanning. Retinaut reserves the right to cap scan depth and page volume to ensure platform stability and fair use for all users. Scans of websites with an unreasonable number of pages (e.g., large e-commerce or enterprise sites) may be limited or require a custom plan.

6. Verification and Compliance Status

Retinaut distinguishes between the following violation statuses:

  • Open: Violation detected, not yet addressed
  • In Progress: You are actively working on remediation
  • Completed: You have self-reported the violation as fixed (not independently verified)
  • Verified: Retinaut's scanner has confirmed the violation is no longer present
  • Won't Fix: You have acknowledged but deprioritized the violation

Important: Only "Verified" status represents confirmed remediation. "Completed" is a self-reported status and does not constitute independent confirmation of ADA or WCAG compliance.

7. Data Ownership

You retain full ownership of your website content, URLs, and any data you submit to the platform for scanning ("Your Data"). Retinaut does not claim any ownership rights over Your Data.

By using the Service, you grant Retinaut a limited, non-exclusive license to access and process Your Data solely for the purpose of providing the Services described in these Terms. This license terminates upon cancellation or termination of your account.

Retinaut will not sell, license, or share Your Data with third parties except as necessary to operate the Service or as required by law. Scan results, violation reports, and remediation data generated from Your Data remain accessible to you during your subscription and will be deleted within 30 days of account termination upon request.

8. Intellectual Property

The Retinaut platform, including its scanning engine, dashboard, AI advisor, scoring system, and all associated software, is the exclusive intellectual property of Retinaut LLC. You are granted a limited, non-transferable license to use the platform during your active subscription for your own internal compliance purposes. You may not reverse engineer, resell, or reproduce any part of the platform.

Scan reports and compliance summaries generated by the platform may be used by you for internal business purposes, including sharing with your legal counsel or web development team.

9. Confidentiality

Retinaut agrees to keep your website data and scan results confidential and will not share such data with third parties except as required by law or as strictly necessary to provide the Services.

10. Limitation of Liability

Retinaut's services are designed to assist you in identifying and remediating WCAG accessibility violations. However, Retinaut does not guarantee that use of the Services will prevent legal action or result in full legal compliance under the Americans with Disabilities Act (ADA) or any other applicable law.

Retinaut's total liability for any claim arising out of these Terms shall not exceed the total fees paid by you in the three months preceding the claim.

Retinaut is not a law firm and does not provide legal advice. You should consult qualified legal counsel regarding your ADA compliance obligations.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Retinaut does not warrant that the Service will be uninterrupted, error-free, or that scan results will identify every accessibility violation present on your website. Automated scanning tools, including Retinaut's, cannot detect all WCAG violations — manual review is recommended for full compliance assurance.

12. Termination

You may cancel your subscription at any time through your account dashboard or by emailing support@retinaut.com. Cancellation takes effect at the end of your current billing period, after which your access to the dashboard and scan data will be discontinued.

Retinaut reserves the right to suspend or terminate your account for violation of these Terms, fraudulent activity, or misuse of the platform, with or without prior notice.

13. Changes to These Terms

Retinaut may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of the State of Connecticut.

15. Entire Agreement

These Terms constitute the entire agreement between you and Retinaut with respect to the Service and supersede all prior understandings, agreements, or representations. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
